Terms of Service

These Terms of Service ("Terms") govern access to and use of the ScriptRun pharmacy delivery management platform (the "Service") operated by MonkeyWolf Digital LLC("ScriptRun," "we," "us"). By creating an account, clicking "I agree," or using the Service, you agree to these Terms.

1. Who May Use the Service

The Service is intended for licensed pharmacies and their authorized employees, contractors, and delivery drivers. You must be at least 18 years old and have authority to bind your organization. Patients do not directly subscribe to the Service; they receive delivery notifications through their pharmacy.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@scriptrun.app of any unauthorized access.

3. Subscription and Billing

Paid plans are billed monthly in advance via Stripe. Fees are non-refundable except as required by law. Deliveries beyond your plan's included volume are billed as overages at the rate disclosed in your plan. You may cancel at any time; cancellation takes effect at the end of the current billing period.

4. SMS Messaging Terms

By providing a phone number to a participating pharmacy and consenting at the pharmacy counter (verbally or via intake form), patients agree to receive transactional SMS from ScriptRun on behalf of that pharmacy. Messages relate only to the patient's own active prescription deliveries and include dispatch notifications, tracking links, delivery confirmations, and failed-delivery notices.

• Message frequency: approximately 2–4 messages per delivery.
• Message and data rates may apply per the patient's mobile carrier plan.
• Opt out: reply STOP to any message. A final confirmation will be sent and no further messages will follow unless the patient re-subscribes.
• Help: reply HELP or email support@scriptrun.app.
• Carriers are not liable for delayed or undelivered messages.
• Supported carriers include AT&T, T-Mobile, Verizon, and most US mobile carriers.

5. Acceptable Use

You agree not to:

• Use the Service for anything other than legitimate prescription delivery operations by a licensed pharmacy.
• Send unsolicited marketing or promotional SMS through the Service.
• Upload content that is unlawful, infringing, or harmful.
• Attempt to reverse engineer, scrape, or disrupt the Service.
• Violate HIPAA, CTIA, TCPA, or any applicable law.

6. Pharmacy Responsibilities

Pharmacies using the Service warrant that they have obtained all legally required patient consents before entering patient phone numbers into the platform, including consent to receive transactional SMS. Pharmacies are responsible for the accuracy of patient data and for compliance with state and federal pharmacy and privacy law.

7. HIPAA

ScriptRun acts as a HIPAA Business Associate to pharmacy customers. A Business Associate Agreement (BAA) governs the handling of Protected Health Information and, to the extent of any conflict, prevails over these Terms for PHI-related matters.

8. Service Availability

We target high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice where practical. We are not liable for outages caused by third-party providers, carriers, or force majeure events.

9. Intellectual Property

The Service, including all software, designs, and content supplied by ScriptRun, is owned by MonkeyWolf Digital LLC and its licensors. You retain ownership of data you upload.

10. Termination

You may terminate by cancelling your subscription. We may suspend or terminate accounts that violate these Terms, fail to pay, or pose a security or legal risk. Upon termination, we will make your data available for export for 30 days, then delete it subject to Section 7 of the Privacy Policy.

11. Disclaimers

The service is provided "as is" and "as available." ScriptRun disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, ScriptRun's aggregate liability for any claim arising out of or relating to the service shall not exceed the fees paid by you to ScriptRun in the twelve months preceding the claim. In no event shall ScriptRun be liable for indirect, incidental, consequential, special, or punitive damages.

13. Indemnification

You agree to indemnify and hold harmless ScriptRun from any claim arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including claims that your use of SMS caused harm because consent was not properly obtained.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and each party consents to personal jurisdiction and venue there.

15. Changes to These Terms

We may update these Terms. Material changes will be posted with a revised effective date and, for active customers, sent via email. Continued use after changes constitutes acceptance.
